Key Responsibilities
- Act as the in-house lead for corporate and governance legal services across all regulated and unregulated entities
- Manage and evolve the Fnality Group's constitutional documents, including Articles of Association and Shareholder Agreements
- Lead the cross-functional Governance Working Group to ensure operational alignment
- Provide strategic counsel to the Board of Directors and Group Leadership Team
- Oversee the legal aspects of strategic group initiatives and regulatory compliance
- Deliver internal training on corporate governance and directors' duties
Essential
- Extensive experience in corporate law and governance within a regulated environment
- Proven ability to manage complex constitutional arrangements and shareholder agreements
- Experience advising senior executives, including CEOs, CFOs, and Board members
- Ability to lead cross-functional working groups and drive strategic execution
- Strong understanding of directors' duties and conflict of interest management
- Willingness to work in a hybrid model with regular onsite presence in Connecticut
Preferred
- Experience with Distributed Ledger Technology (DLT) or blockchain-based financial systems
- Background in wholesale banking or financial market infrastructure
- Experience navigating multi-jurisdictional legal entity structures
- Prior experience in a high-growth startup or fintech environment
