Key Responsibilities
- Lead all phases of global acquisitions including term sheets, structuring, and definitive documentation
- Oversee the legal due diligence process and communicate risks to senior management
- Manage post-closing indemnification and integration matters
- Collaborate with Corporate Development to refine acquisition strategies
- Implement AI and automation tools to improve deal execution efficiency
- Direct the work of external legal counsel
Essential
- Qualified to practice law within the United States
- Significant experience in independently leading and negotiating complex strategic deals
- Deep understanding of corporate, securities, and contract law
- Ability to manage heavy workloads and prioritize tasks in a high-pressure environment
- Service-oriented mindset with high responsiveness
- Strong interpersonal skills and ability to communicate with executive leadership
Preferred
- Experience specifically with buy-side or strategic acquirer transactions
- Background working with technology, software, or SaaS business models
