Key Responsibilities
- Direct all SEC reporting and public disclosure processes in collaboration with Finance and IR
- Advise the Board of Directors on independence, charters, and governance strategy
- Lead legal due diligence and integration for M&A and HubSpot Ventures activities
- Modernize the legal department using AI and intelligent self-service tools
- Manage executive ownership programs and insider trading compliance
Essential
- Extensive experience in public company reporting and SEC compliance (10-K, 10-Q, 8-K, and proxy statements)
- Proven track record in corporate governance and managing Board of Directors interactions
- Experience overseeing Section 16 filings and Rule 10b5-1 executive ownership programs
- Background in managing global subsidiary and entity governance
- Direct experience leading legal strategy for M&A and corporate venture investments
Preferred
- Experience working within an AI-native or high-growth SaaS environment
- Demonstrated ability to implement legal tech, automation, and AI-driven workflows
- Previous experience in a 'product-led' or 'easy-to-use' service delivery model
